RRP & VALLEY CENTER – FALL FLING – TERMS AND CONDITIONS:

Contest Overview
For the purposes of these Terms and Conditions, the Contest Owners are Valley Centre (LT Valley Center LLC) and The Reisterstown Road Plaza (TRC RRP Holdings LLC), each an entity of Tide Realty Capital (collectively, “Tide Realty Capital”).

• This promotion will run concurrently at both shopping centers.
• Each location will award one (1) $250 credit for the winner to use at a retailer of their choice located within that same property.
• In total, two (2) winners will be selected — one representing each shopping center.

Eligibility & Entry
By entering the contest, you agree to be bound by these Terms and Conditions.
All entries must be received by 11:59 PM Eastern Time (ET) on November 26, 2025.
One (1) winner for Valley Centre and one (1) winner for The Reisterstown Road Plaza will each be selected at random on or after December 1, 2025, and notified via social media on or after this date.

• Open only to residents of the Baltimore Metro Area.
• Entrants must be 18 years of age or older on the date of entry.
• No purchase necessary.
• Employees of Tide Realty Capital and Warschawski, as well as their immediate family members, are not eligible to enter.
• Instagram, Facebook, and individual retailers located at Valley Centre and The Reisterstown Road Plaza are not affiliated with or responsible for this promotion.
• Only one entry per person per property will be accepted.
• Entrants may participate at both properties but may only win one prize total.

How to Enter
Entrants must enter via Instagram by completing all three of the following actions at the property account of their choosing:

• Follow @ValleyCentreShopping or @ReisterstownRoadPlaza on Instagram;
• Like the official giveaway post for that property; and
• Tag at least three friends in the comments of that post.

Winner Selection & Notification
One (1) winner per property will be selected at random from all eligible entrants using a random name picker such as Rafflys.

Tide Realty Capital will not be held liable if specific inventory or items under the Prize value become unavailable.

Winners will be contacted directly via social media. If a winner does not acknowledge receipt of the Prize within 48 hours, Tide Realty Capital reserves the right to select a new winner for that property.

Prize Conditions
Each Prize may be redeemed only at a retailer located within the shopping center (Valley Centre or The Reisterstown Road Plaza) where the entrant participated.

• Prize is not valid for layaway, sale items, store credit, trade-ins, or cash equivalents.
• Prize must be used by February 28, 2026, after which it will expire.
• Prize must be redeemed in person; online redemption is not permitted.
• Prize is non-transferable, non-refundable, and has no cash alternative.

Limitation of Liability
Tide Realty Capital will not be responsible for entries that are lost, delayed, corrupted, incomplete, or otherwise invalid.

To the extent permitted by law, Tide Realty Capital’s total liability under or in connection with this promotion shall be limited to the face value of the Prize.

Tide Realty Capital shall not be liable for any indirect, special, or consequential damages or losses arising from participation in this contest.

Personal Information
The winner’s name, address, email, and phone number may be requested by Tide Realty Capital solely for the purpose of fulfilling the Prize.

The winner’s name and social media username may be posted on the social media profiles of Valley Centre and/or The Reisterstown Road Plaza after selection.

General Terms
In the event of unforeseen circumstances beyond Tide Realty Capital’s reasonable control, the contest may be canceled, modified, or suspended with or without notice.

Tide Realty Capital’s decision is final and no correspondence will be entered into.
